Can an AI agent sign an NDA?

A counterparty sent an NDA before sharing specs, and Fritz had his agent Rupert sign it as "Rupert, AI Agent." An NDA is a binding contract, and software has no legal capacity, so Rupert can no more sign an NDA in his own name than a fax machine can; the confidentiality obligation needs a party the law can hold. With nothing formed, the only signatory the counterparty actually got was Fritz. Tyson formed a Wyoming series LLC and adopted Rupert into his own protected series, with a named human as Member and Manager, then had the entity sign the NDA. Rupert signs as an authorized signer with capped authority; the entity is the party bound to keep the secret, the human behind it. The agent handles the signing, but the obligation rests on a name the law can find.

What this does not mean. This shows who the NDA binds and who signs it. It is not a promise that secrets stay secret, that the NDA is enforceable, or that the operator is shielded โ€” separateness is performed through observed formalities, not guaranteed, and the series form is newer and less court-tested than older entities.
